ProfileSenior Contracts Negotiator The candidate will be responsible for negotiating, drafting and closing a wide variety of complex client contracts for Major Accounts Services under limited supervision. Interfaces with all levels of Division and Corporate Management concerning operational aspects of transactions. Ensures that the negotiated and drafted agreement terms and conditions are made in the best interest of (i.e. maximum benefit with minimum risk). Affirms that agreements accurately reflect firm’s policies/ business practices and that the terms of the agreements comply with business partners’ objectives. Negotiates and closes a wide variety of complex contracts with existing and prospective Major Accounts Services clients. Completely and accurately reflect the intent of the parties to the transaction and the results of the negotiations, are consistent with firm’s business practices, policies and goals, Address all relevant issues, individually and collectively, so as to minimize firm’s exposure to risk. Interfaces with Corporate Legal regarding contract stipulations, drafted language and exposure issues. Interfaces with Sales, general management, and client/third party partner management and attorneys regarding the negotiation of contracts (including face to face meetings as required), and the development of pre-contract terms and conditions within business/sales proposals. Ensure contract terms and conditions are consistent with firm’s business practices, policies and goals (financial, fiscal, strategic, etc.). Assist with pilot ES/National Accounts contract programs and procedures, particularly for new products and services. Maintains library of current template forms, negotiated provisions and other relevant information. Reviews RFP questions and responses. Provides advice to Sales in responses to protect interests. Uses strategic thinking to prepare for client contract negotiations (if/then thinking). Recommends changes to form agreements to address comments or concerns from clients and business partners. Financial terms are written to protect current and future revenue and provide flexibility. Contracts contain the appropriate forms, terms and conditions for the services being offered. Evaluates client comments to determine when to involve general manager. Uses judgment to identify situations which require attention or approval of senior management. Provides input and shares knowledge with department associates as to approaches to unique as well as recurring contract issues. Researches legal citations in contracts for applicability, relevance and effect on services Uses experience to: advise business managers as to alternative resolutions of business issues which have been effective in similar situations and apply established policies to new situations. B.S. in Economics or Business Administration or equivalent education/experience is essential. Must have 5+ years of experience minimum in contract negotiation, drafting, interpretation and contract process management – preferably with a variety of high dollar and volume client vs. vendor contracts. Paralegal certificate; law degree a plus. Experience supporting a sales organization strongly preferred. Working knowledge and application of contract and business law with good business judgment and analytical skills required. Experience with software licensing and other technology-related contracts useful; additional legal experience preferred. Excellent verbal and written communication skills necessary.
