ProfileAssociate General Counsel The candidate will support activities of General Counsel. Provide advice, counseling, and other legal services to the company on various matters such as commercial contracts, compliance, business transactions, governance, litigation management, human resources, and regulatory matters. Contract negotiation for a variety of standard and nonstandard contracts and subcontracts. Review and analyze contract terms and conditions and provide direction to internal project managers. Evaluate provisions and prepare documents for real estate leases. Coordinate registrations and licensure both corporate and individual. Provide guidance on corporate structure for subsidiary entities; coordinate required Board meetings, maintain minutes, etc. Advise on corporate structure for international work and related international matters. Maintain components of corporate structure (entities, owners, Board members, etc.). Manage private stock offering and registration. Coordinate due diligence activities related to potential acquisitions. Review credit agreements, mortgage, covenants, etc. related to banking partner(s). Participate in the establishment and implementation of training and risk mitigation programs. A Juris Doctorate and license to practice in the state of Illinois with 5-15 years of experience required. 2+years of experience involving contracts and other related activities preferred. Experience working with insurance matters preferred. Outstanding verbal and written communication skills with an emphasis on strong writing skills and experience with international operations required. Proficiency in Microsoft Office required.
