Senior Director, Executive Counsel The candidate will be responsible for drafting and negotiating a broad range of standard and non-standard contracts relevant to the commercial sales, marketing, market access and operations functions customary to the brand pharmaceutical industry. Will be responsible for managing others within the department who draft and negotiate contracts and perform contracts-related work. Draft, review and negotiate a broad range of standard and non-standard agreements, including distribution and trade agreements, specialty pharmacy service and network agreements, managed markets rebate/discount agreements, complex master service agreements, IT agreements, license agreements, innovative agreements, market research agreements, HCP agreements, vendor agreements and other agreements related to the sales and promotion of pharmaceutical products. Responsible for overseeing the appropriate management of legal risks in all contract-related matters. Provide contracting support as needed for the Market Access contracting function in the United States, including providing advice on strategic pricing and contracting proposals and policies, price reporting, innovative contracting and other initiatives, and drafting and negotiating rebate and discount purchase agreements as needed. Build strong and transparent relationships with internal clients ensuring that the contracting process generates a positive client experience and goodwill that will form the foundation for productive and lasting partnerships. Continually improve the efficiency and effectiveness of legal contract support within firm while maintaining the quality and consistency of contracts across the organization, following all applicable best practices, processes, policies and procedures. Ensure that the company is in compliance with all applicable laws, rules and regulations. Give final legal approval for agreements entered into by the company.
Qualification and Experience
The candidate must have JD degree and licensed to practice in PA or KS or eligible for in-house counsel admission. Should preferably have undergraduate coursework or degree in business or science. Must have 10+ years of contracts experience, including law firm and in-house experience in the branded pharmaceutical, biotechnology or medical device industry. Experience in providing legal and regulatory support for branded pharmaceutical products, including promotional materials review is preferred. 2 years of management experience is desired. Substantive knowledge of US Federal and state laws and regulations relating to the pharmaceutical industry, including without limitation, the False Claims Act, the Food, Drug and Cosmetic Act, the Anti-Kickback Statue and safe harbors, the Foreign Corrupt Practices Act, the Medicaid Drug Rebate Statute, the FTC Act and antitrust laws is must. Experience in all aspects of drafting standard and non-standard contracts customary to the pharmaceutical industry is needed. Experience in negotiating agreements and counseling others regarding the negotiation process is essential.
