ProfileContracts Counsel The candidate will be responsible for advising the company on commercial, contract and transactional issues involving original equipment, aftermarket parts and general services suppliers. Will draft, review and approve various contract documents including but not limited to: purchase order terms and conditions and master purchase/supply agreements, outsourcing agreements, services agreements, website agreements, and enterprise licensing agreements. Negotiates and defines contractual language supporting original equipment, aftermarket parts, and general services suppliers. Interfaces and manages relationships with internal business customers, outside counsel, supplier/vendor counsel, and global in-house network of Honda attorneys as needed. Provides support to General Counsel on a variety of legal issues. Partners with other organizations and departments to provide training to new employees on legal matters.
Qualification and Experience
The candidate should have Juris Doctor Degree. Must have 5+ years of legal practice with an emphasis on commercial, contract and transactional legal matters within a legal firm, corporate legal department or government entity is required. Previous experience advising on drafting, interpreting and negotiating contracts (including UCC Article 2) involving original equipment and aftermarket parts suppliers is required. Previous experience within aviation and international contracts is highly preferred. Currently active member of the NC State Bar or ability to become and maintain an active license to practice law in NC is required. Extensive knowledge contracts related to original equipment and aftermarket parts suppliers is required. Working knowledge of legal subject areas including to intellectual property, customs, and trade compliance is highly beneficial. Proficiency in MS Office is required.
