ProfileSenior Counsel - Contracts Responsibilities : The candidate will draft and negotiate a broad array of global commercial agreements including supply, distribution, product development, lease, licensing, real estate, and confidentiality agreements. Provide guidance on contract structure and process, including identifying risks and proposing alternative solutions to mitigate risks involved in potential transactions. Work collaboratively with other members of the fast-paced legal team. Work closely with business leaders and all functional groups across the organization, ensuring that legal advice and guidance are delivered in a manner that is timely, proactive, practical, and cost-effective and meets the highest legal, ethical, and professional standards. Providing general legal guidance on other general commercial transactions and matters, as needed. Employ standard work and processes to continually improve the contract management system. Direct, monitor, and supervise outside counsel, as needed.
Qualification and Experience
Requirements : The candidate should have strong academic performance and J.D. from an accredited law school in the U.S. Active member in good standing of a state bar association. Minimum of five(5) years’ experience in a law firm or another challenging legal environment. Experience working directly with clients and autonomously drafting and negotiating a broad array of global commercial contracts. Functional proficiency in the following areas of law: commercial contracts, real estate, antitrust. M&A and/or public company experience a plus. Experience managing external counsel, including project scoping and budgeting. Ability to travel. Business focused and results oriented with a bias for taking action. Finds creative ways to support the business. Does not present roadblocks or create unnecessary delays. Realistic and pragmatic in dealing with global challenges. Able to shift quickly from tactical to strategic. Hands on, hardworking, able to keep up with an extremely fast pace and heavy personal work load. Able to react quickly without shooting from the hip. Can slow things down when needed. Sees the big picture. Builds appropriate structures and processes without creating bureaucracy. Adaptable and comfortable in a fast changing, matrix management environment. Supports the matrix approach over more traditional structures. Capable of leading by example in managing through issues.
