Director/Sr. Director, Associate General Counsel The candidate will have wide ranging responsibility including supporting the company’s pre-clinical, clinical, business development, and research and development teams. Work cross-functionally, serving as an integral part of project teams to draft and negotiate a wide range of agreements and identify legal risks. Assist in supporting other business activities, such as intellectual property management, SEC filings, business development activities, and corporate governance matters. Provide high quality legal advice and serve as a trusted strategic partner to a variety of internal teams including pre-clinical, clinical, business development, and research and development. Assist in developing and advise on global IP strategy in line with the company’s business goals including working with research and development teams and outside counsel to identify and protect new IP opportunities. Assist in managing the company’s intellectual property portfolio with the assistance of outside counsel. Lead the negotiation and drafting of a wide range of agreements. Develop and present materials on relevant laws and legal/business issues. Assist with the company’s SEC filings. Support M&A, securities offerings and financings. J.D. from an ABA-accredited law school and admission to at least one state bar required. A combination of 7+ years large law firm and biotech/pharma company experience required. Significant transactional experience in being primarily drafting and negotiating a wide range of agreements including licensing agreements, collaboration agreements, material transfer, clinical trial, and sponsored research agreements required. Collaborative team player with excellent interpersonal and written/verbal communication skills required.
