Contract Manager The candidate will be responsible for Contract Development, Contract Management and Contract Compliance, as explained below, for all contractual documents, working in partnership with the Category Sourcing Experts, Suppliers, Internal Business Partners and Legal Department. Acts as an advisor and/or expert for contract interpretation related issues and must apply critical thinking skills to achieve issue resolution. Must be able work independently to provide appropriate counsel to Category Sourcing Experts and Internal Business Partners and work collaboratively with Category Sourcing Experts and Internal Business Partners to make sound business decisions on behalf of the Company. Day to day work of the CM requires the ability to manage multiple concurrent deliverables in a very dynamic and variable environment where business requirements and timelines fluctuate frequently. Also works closely with Internal Audit and Supplier's auditors to resolve contract compliance issues. Also responsible for the following functions, which are detailed below: Accelerate the development of contracts, amendments, and SOWs. Draft, revise and edit contractual documents. Utilization of a contract database/repository. Maintain Supplier contracts and SOWs. Monitor contract renewals and other key contract milestones. Resolve contract compliance issues. Identify issues and coordinate resolutions with transaction’s internal negotiation team. Understand business requirements, legal provisions, and Corporate Policies. Participate in meetings as required by Director of assigned service area(s). As a part of the company negotiation team, provide leadership in drafting and negotiating terms and conditions with Suppliers. In accordance with company's priorities, review Supplier requests to change contract template provisions, assess risk of implementing changes, and recommend company's response. Secure Legal approval (as required) of response and negotiate resolution with Supplier. Identify and assist issue review with company subject matter experts. Document responses from subject matter experts in contract database. Release document for supplier review. Review contract modifications received from company clients or Suppliers. Provide points of view on the implications and next steps regarding contract changes. Monitor contract status and report on upcoming contract renewals or expirations. Partner with the Category Sourcing Experts to renew and revise contracts with Suppliers as needed. Monitor other key contract milestones and provide Category Sourcing Experts with updates and recommended contract actions. Provide assistance to Category Sourcing Experts and Internal company Business Partners in understanding contractual documents and their terms, including Supplier’s and company's rights. Act as Sourcing lead for internal and Supplier-led audits involving contract compliance. Assist with drafting and identification of approvers for Contract Approval Sheet. Take responsibility for approving certain contracts within categories identified by Legal Department to eligible for CM approval. Ensure new company standard language, including newterms and conditions, is added to all contracts, as appropriate. Manage Supplier dispute resolution through formal or informal dispute resolution channels. Review and interpret Sourcing and Corporate Policy requirements. Take responsibility for consultation on and escalation of contractual terms and conditions to Senior Management, including provision of current and potential legal and business issues and/or risks.
Qualification and Experience
The candidate should have Bachelor’s degree and the following. Must have 4-6 years related experience in contract management or sourcing position. Preferred: J.D., MBA or equivalent advanced degree; Certifications from the National Contract Management Association (NCMA); Certified Federal Contracts Manager (CFCM); Certified Commercial Contracts Manager (CCCM); Certified Professional Contracts Manager (CPCM); Affiliation with a contract management association; International Association of Contract and Commercial Management (IACCM). Must have demonstrated experience negotiating, drafting & managing agreements with significant annual spend. Skills: Strong interpersonal and client-service skills; Strong oral and written communication skills; Strong issue resolution and negotiation skills; Strong project management skills.
