Contract Review Attorney Duties: Helps the company achieve its strategic objectives while getting exposure to a broad range of commercial and corporate issues in a dynamic, rapidly-growing business. Drafting and negotiating contracts on a variety of issues and topics, including software licensing, IT infrastructure, and commercial vendor agreements. ensure that all legal, regulatory and related risks are appropriately identified and addressed in customer and vendor contracts, and that customer and vendor contracts are negotiated in a timely manner. Draft, review, and negotiate contracts, including customer and vendor contracts for global colocation, cybersecurity and data analytics businesses. Provide legal guidance to Sales, Product, Technology and Procurement teams, balancing business objectives and legal risk. Manage and maintain template agreements, contract playbooks and sales process. Ensure that documentation and processes are compliant with current laws, client requirements, and industry best practices. Manage relationships with all outside counsel as needed. Oversee maintenance of contracts and ensure proper documentation for renewals and existing contracts. Assisting with corporate matters such as corporate governance, equity grants, and cross-border issues. Providing effective advice and support on any other legal issues as needed.
Qualification and Experience
Qualifications: JD and admission to a state Bar. 3+ years as a practicing lawyer in a dynamic, forward-thinking in-house legal department or top-tier law firm (prior in house experience preferred). Experience in drafting and negotiating IT infrastructure and/or software contracts. Experience reviewing and drafting commercial vendor agreements. Prior experience working with contract management systems a plus. Ability to be proactive and work independently in a fast-paced, dynamic business environment. Superior negotiation, communication, and presentation skills. Experience supervising and working with non-lawyer contract specialists.
