Senior Corporate Counsel The candidate will assume responsibility as contracts counsel for Therapeutics and Research teams, including the negotiation, drafting and management of all agreements relating to these lines of the business. Will lead on certain BD collaboration agreements. Reports to the Associate General Counsel. Serve as lead attorney and strategic advisor on contracts and day-to-day operations for the Therapeutics team and the Research team; Draft, review and lead on negotiations on a high volume of contracts daily, including third party vendor agreements, collaboration agreements, supply agreements, CRO agreements, contract manufacturing agreements, data transfer agreements, licensing and other transactional agreements; Advise the Therapeutics team on corporate and contractual matters related to drug discovery and development, informed consent and research collaborations; Ensure clients are kept abreast of relevant legal developments; Conduct training to client groups on a variety of legal, compliance and regulatory issues; Contribute to legal due diligence procedures arising from BD or licensing-related contractual activities; Work with external counsel, wherever appropriate, and supervise their work; and Interface with key stakeholders, including colleagues in BD, Therapeutics, Research, Engineering, Operations and Regulatory Affairs as well as colleagues in Legal.

Qualification and Experience

Qualifications: At least an undergraduate degree in biochemistry, molecular biology, or a related science is strongly preferred. JD Degree and active member of the CA state Bar. 10+ years of corporate and/or law firm legal experience with 7+ years of biotech- or biopharmaceutical-related Legal experience of which 3+ years must be in support of an R&D function relating to biotech/biopharma drug discovery and development and of which 5+ years must be in-house biotech/biopharma experience. High proficiency in MS Office Suite and Google Apps suite. Technical legal expertise in supply, CRO, pharma/biotech research and development activities, trial and data transfer agreements and complex BD and licensing transactions and agreements. Strong scientific background in biochemistry, molecular biology, or related science and substantial transactional experience drafting agreements involving biotechnology, biopharmaceutical, or related subject matter. Excellent verbal and written communication and negotiation skills. Experience in daily counseling of research and drug development teams. Excellent organization and time management skills to independently manage heavy workload in a fast-paced environment. Proven ability to network and build strong working relationships to encourage the routine engagement of legal counsel in the achievement of client team objectives and goals. Adaptable, open to new ways of working and finding unique solutions to overcome business challenges. Keep informed of new laws, regulations, and industry trends affecting biotechnology/biopharmaceutical drug R&D and related licensing matters and assist with development of policies and procedures as needed. Ability to manage workload and prioritize among a given number of active files at any one time. Must have the legal skills, business acumen, and experience necessary to drive successful legal and business outcomes, and the ability and inclination to actively shape policies promoting efficiency and risk management for the Company.
