Associate Counsel - Vendor Contracts The candidate will provide legal advice and guidance to support vendor matters for third party providers of software and services for all originations and servicing channels and functional groups (including Lending Operations, Performing Servicing, Default Servicing, Marketing, IT, HR, Facilities, Compliance and Risk). Support Senior Counsel in legal matters relating to the company’s service and software providers, including negotiation and drafting of vendor agreements. Make recommendations for decision-making and courses of action that comply with vendor management best practices and regulatory guidance, and mitigate risks associated with outsourcing. Work under the supervision of Senior Counsel. Review and negotiate supplier agreements for third party providers of software and services providing services to company business lines to assure that the company is addressing mortgage lending regulatory concerns, as well as obligations impacting financial institutions generally, and federal and state laws impacting mortgage origination and servicing. Provide guidance and counsel on vendor management best practices and reviews contracts to assure the company is complying with regulatory guidance and mitigating risk associated with outsourcing. Provide analysis and counsel on existing policies and development of new policies for sourcing/procurement and vendor management. Develop standard form contracts that advance the company’s interests for repetitive business transactions. Support client training on relevant legal issues and regulatory environment. Any other job responsibilities requested by management. J.D. degree required from an ABA accredited law school and current license to practice law in a US state jurisdiction required. 5-10 years of experience with an emphasis on consumer financial services at a law firm or larger in-house legal department of a regulated institution required. Offshoring experience preferred. Ability to anticipate and meet the needs of a demanding and sophisticated group; Excellent interpersonal communication and leadership skills, including the ability to influence others, foster teamwork, and drive for results and change within a large and complex organization required. Excellent oral and communication skills and excellent listening and team work skills required.
