Contracts Counsel Duties: Work closely with the General Counsel and Contracts Manager to negotiate and draft a wide variety of contracts for clients, vendors and partners. Primarily focused on contracts, there is an opportunity to work on general corporate, litigation, IP and employment projects as they arise. Draft, review and negotiate a variety of complex, high volume agreements, primarily in the enterprise SaaS sales and commercial contracts space, involving nuanced global data protection and privacy issues, HIPAA, and HITECH. This positon will also be responsible for vendor, partner and data sharing agreements. Work with business executives and other departments’ stake holders on a broad range of complex legal, business and strategic issues as they arise in a fast-paced, rapidly-changing environment. Research legal issues, assist in drafting company policies, playbooks and guidelines.
Qualification and Experience
Qualifications: Relevant legal experience in SaaS and ASP contracts is preferred. A mixture of in-house and law firm experience is preferred. HIPAA, ADA and ACA compliance experience is strongly preferred. Accredited Law Degree and a current license to practice in Massachusetts. Experience negotiating and analyzing legal and business issues within contracts. Understanding of and experience with US and EU privacy issues and laws, including HIPAA, HITECH, GDRP and EU Privacy Shield. Must feel at ease interacting with a range of global customers from medium sized businesses to Fortune 500 enterprises. Highly collaborative and able to organize and manage projects with multiple stake-holders and groups. Fast learning, self-starter with an outstanding record and demonstrated ability to work with minimal supervision. Tactful with strong internal and external negotiation skills. Detail oriented, well organized and technically-adept.
