Corporate Counsel – Procurement/Integrated Supply Chain Duties: A member of the Company’s commercial practice group. Provides legal services to protect the best interests of the Company, as well as its integrity, reputation, assets, officers and employees, while ensuring that the Company operates in compliance with the applicable laws. Provides strategic advice and counsel, in collaboration with Legal leadership team members, to key Procurement stakeholders by engaging with them to identify, develop, and implement strategies in their area of responsibility to manage risks to the Company’s interests and resources. Provides similar support to additional Integrated Supply Chain groups, such as contractual support to the Logistics group. Applies experience and expertise to Procurement and other commercial transaction matters, including day-to-day contract counseling; advises stakeholders of potential risks in contractual areas and proposes practical risk mitigation strategies; provides creative and legally sound solutions for resolution of disputes with commercial business partners. Drafts, negotiates, and reviews commercial contracts, including product supply agreements, technology agreements, consulting agreements, confidentiality agreements and other business and legal documents. Assigns and manages outside counsel as necessary. Identifies legal training needs and requirements, particularly related to contract matters; assists in the development and delivery of training. Updates current contract templates and develops new templates, as necessary, for use by key stakeholders. Supports M&A initiatives and other commercial areas on an as-needed basis.
Qualification and Experience
Qualifications: JD Degree from an accredited law school and top academic credentials. 2-7 years of related experience with commercial transactions, including preparation and review of commercial contracts. Prior major law firm experience and in-house experience preferred. Excellent management skills and business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation. Strong research and writing skills, and a demonstrated ability to communicate effectively with a non-legal audience, are required. Learning agility and strong organizational skills are also required. Ability to work independently with minimal supervision. Experience within the food industry is a plus.
