Counsel Duties: Assist the Chief Compliance Officer and General Counsel in performing complex and confidential legal related matters to ensure that the Legal Department meets its critical internal and external deliverables, identifies risk and provides strategic solutions. Participates in the definition and development of corporate policies, procedures and programs, and provides continuing counsel and guidance on legal matters and on all legal implications. Negotiates, writes and executes agreements and contracts on behalf of the company. Provides assistance when necessary on complex matters, including litigation, mergers and acquisitions. Researches unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Evaluates risk factors, courses of action, alternatives and makes decisions and recommendations accordingly. Applies effective risk management techniques, offers proactive advice on potential legal issues, addresses complex questions, and suggests mitigation strategies. Communicates and negotiates with external parties (regulators, external counsel, public authority, etc.). Customarily and regularly exercises discretion, independent judgment, and makes recommendations related to regulatory and compliance related matters. Works alongside stake holders in various business units, including Marketing, Sales, Client Services, and Information Technology to address and resolve complex legal matters. Other duties as may arise in support of the goals of the department and company. Maintains current knowledge of applicable legislation.
Qualification and Experience
Qualifications: College degree (B.A. in political science, pre-law, etc.). JD Degree. Admitted to or registered to practice law in any jurisdiction. 2+ years of experience in a similar role. 1-3 years experience with contract drafting and negotiation. Experience working on significant corporate legal matters. Familiarity and understanding of local, state and federal laws and regulations. Financial services or mortgage servicing industry experience is preferred. Understanding of corporate law and procedures. Excellent verbal and written communication skills. Ability to communicate professionally and effectively with internal and external partners of varying levels. Ability to manage multiple projects, with multiple contributors and stakeholders. Ability to work independently and collaboratively. Possesses strong problem solving, project management and analytical skills. Proactive learner who utilizes new technologies and who can propose process improvements. Possesses strong organizational and time management skills. Ability to adapt to change, multitask, prioritize tasks, manage and meet deadline based on the needs of the department and the organization. Advanced knowledge of the Microsoft Office Suite. Professional and positive demeanor, with customer service, and quality mindset. Self-motivated, takes initiative to complete and add value to assigned tasks with attention to detail. Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Maintains strict confidentiality in all aspects of client, staff, and vendor information. Professional demeanor, including ability to use tact and sound judgment in contact with internal and external clients.
