Contracts Manager The candidate will advise business leaders and coordinate across both internal and external teams. Collaboratively provide input on contractual approaches, protection of intellectual property, and contract interpretation. Assess and advise management on contractual risks and support customer requests through strategic and timely proposal input and development/negotiation of agreements (NDA, Teaming, OEM/Software License, etc.). Examine proposal and contract requirements in detail, including verification of basis of estimates, assumptions, contingencies, compliance, risk mitigation and associated performance related dependencies. This position involves a collective mix of international, commercial, and US Government DOD contracting with a keen attention to protection of Intellectual Property and includes firm fixed price, cost plus and T&M contracts. Act as the liaison between the company and the customer, you will be empowered to propose, prepare and negotiate contracts that provide creative solutions to solve unique problems. A Bachelor’s Degree required. An MBA or J.D preferred. 8+ years of demonstrated experience negotiating and administering commercial, government, and international contracts. Strong working knowledge of the Federal Acquisition Regulation (FAR), particularly FAR Parts 12 and 15 as well as the ability to apply this knowledge to prime and subcontractor situations required. Solid understanding of commercial and government contract practices including proposal compliance, applicable terms, and conditions relating to both FAR Part 12 and 15, as well as experience in International contracting, including familiarity with ITAR and EAR compliance required. Working knowledge/experience: with Letters of Credit; with Performance Bonds/Standby L/C’s; developing and defending formal Liability Assessment Plans and mitigation of Limitation of Liability thresholds and Liquidated Damages provisions; currency/exchange rate hedging; and licensing of both software and technology required. Demonstrated proactive collaboration with major international subcontractors, along with subcontracts department and expert knowledge in FAR, DFAR, and agency supplements required. Strong proficiency in Microsoft Office, including Word, Excel, Outlook required.
