ProfileCorporate Attorney The candidate will have responsibility for drafting and negotiating client license agreements, non-disclosure agreements, data license agreements, hosting agreements, software agreements, new contract templates, and other commercial contracts, including but not limited to contracts for internal stakeholders in sales, marketing, product development, and licensing. Must be able to revise agreements, propose strategic language, and negotiate with opposing counsel. Must be capable of communicating issues to deal teams, raise salient issues, propose various strategies to limit risk, and enable colleagues to comply with terms and evaluate deals from a legal and risk perspective. Negotiate and draft client license agreements, schedules, amendments, addenda, while learning about the global FactSet business. Provide legal and business advice to Sales team member around the world, as well as members of senior management regarding strategic business relationships. Advise on legal issues related to the licensing of Fact Set’s core IP products, including proprietary data. Work with a global Legal Department team of experienced, skilled contracts lawyers. Focus on intellectual property licenses, and oversee the maintenance and administration of contracts. Juris doctor degree from a top accredited law school combined with a distinguished law school record and admission to Connecticut Bar (or eligibility for licensing in Connecticut as In-House Counsel) (no relocation will be provided) required. 3+ years of relevant legal practice at a national law firm and/or with a publicly-traded company in a responsible generalist position (a combination of large law firm and in-house experience preferred) required. Strong transactional experience, negotiating a range of commercial agreements and drafting associated language and terms required. Interest in and proficiency with intellectual property and licensing concepts required. Excellent analytical, problem-solving, negotiation, drafting and communication skills required.
