Senior Corporate Counsel - Securities, Corporate Governance, and Corporate Transactions Duties: Provide legal support with respect to SEC and NYSE reporting/compliance, corporate governance, financing activities, transactions, and general corporate matters associated with a publically traded company. Will report to Vice President and Deputy General Counsel. Assist with the preparation of SEC and NYSE reports and filings; coordinate with cross-functional teams to make key determinations for public disclosures. Provide counsel on corporate governance, insider trading policies, and executive compensation issues. Draft and revise various corporate governance documents (e.g., minutes, board resolutions, etc.) in compliance with applicable law and existing corporate requirements. Support corporate initiatives to engage in equity and debt financing activities; coordinate with other functional groups, such as Finance and Tax. Oversee, with paralegal assistance, matters related to domestic and international subsidiary management. Advise senior management and business leads within the company on matters related to the negotiation and implementation of corporate transactions. Assist in the pursuit of strategic acquisitions, including: diligence, negotiation, contracting, and integration of acquisitions. Coordinate internal and external resources engaged in the company's acquisition initiatives and other functional groups. Partner as necessary with compliance and internal audit colleagues. Negotiate, draft and revise a variety of corporate contracts involving licensing and intellectual property, real estate, and major and minor corporate transactions. Contribute to other legal department goals and duties as needed.
Qualification and Experience
Qualifications: JD Degree from ABA-accredited law school. 5-10 years of substantive experience with a focus on securities and transactions. Experience evaluating, structuring, and executing transactions. Experience leading multi-functional transaction teams, including corporate and business development, finance, sales, human resources, and legal. Broad exposure to securities, corporate governance, and transactional matters. Ability to develop innovative approaches to legal issues in support of strategic business initiatives and objectives. Excellent interpersonal skills, and the ability to thrive in a fast-paced legal environment. Excellent academic and law firm credentials. Substantive knowledge and experience in offerings of equity and debt securities, including negotiations, documentation, due diligence, SEC registered offerings, and private placements. In-house experience preferred.
