Senior Counsel The candidate will primarily support Pharmaceutical Distribution and Strategic Global Sourcing department’ business units with an emphasis on finance, sales and marketing initiatives within the community and specialty pharmacy segment and/or health systems segment. Will prepare, review and negotiate various commercial contracts including pharmaceutical distribution agreements, marketing agreements, confidentiality agreements, group purchasing organization and buying group agreements and franchising agreements, as well as letters of intent, term sheets and responding to requests for proposal. Provide assistance and input on best practices and practical solutions for workflow processes and contract life-cycle management to promote efficiency and to ensure Pharmaceutical Distribution and Strategic Global Sourcing department and the Company and their respective personnel are adhering to contractual deliverables, compliance and related obligations. Ensure that all contracts or agreements accurately reflect the Pharmaceutical Distribution and Strategic Global Sourcing department’ business objectives as well as compliance with all laws and regulatory requirements. Appraise and keep management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of Pharmaceutical Distribution and Strategic Global Sourcing department. Anticipate and guard against legal and business risks involving Pharmaceutical Distribution and Strategic Global Sourcing department and the Company. Work collaboratively with other associates in the Legal Department, as well as Company executives and business unit leaders of various operating divisions, in particular those that support finance, sales, marketing and sourcing within Pharmaceutical Distribution and Strategic Global Sourcing department. Select and manage outside counsel, including establishing procedures for evaluating the quality and cost of services, on an as-needed basis. As needed, provide legal support on mergers and acquisitions, joint ventures, and strategic alliances that Pharmaceutical Distribution and Strategic Global Sourcing department undertakes, as well as any other business development activities that promote an expansion of Pharmaceutical Distribution and Strategic Global Sourcing department’ distribution capabilities. Participate in business development meetings and strategic planning sessions to ensure commitments and obligations are in the Company's best interest and no conflict of interest or other issues exist. Performs related duties as assigned.
Qualification and Experience
The candidate should have Law Degree - must be a graduate of an accredited law school and admitted to a State bar association. Must have 2-5 years’ experience with emphasis on contracting, commercial, and corporate matters. Prior in-house experience preferred. Healthcare or pharmaceutical industry experience preferred (including PBM or PSAO famimilarity). Broad training and familiarity in business administration, accounting, credit, finance, sales and marketing also a plus. Strong background in contract drafting and negotiations and commercial transactions is required. Must have working knowledge of corporate law; litigation; healthcare law (False Claims Act and Anti-Kickback Statute) and practices (pricing and reimbursements); anti-trust; and regulatory agencies (DEA and FDA) and procedures. Knowledge of Microsoft Word, Excel and PowerPoint is required.
