Corporate Counsel The candidate will assist in contract review and negotiation, to provide legal advice to staff to ensure the company complies with the law, and to proactively mitigate the company’s risks. As a member of the firm’s Legal Department, these duties include: Assist management and staff in negotiating, drafting, and interpreting contracts that are protective of the company’s interests. Advise and provide management and staff with effective risk abatement strategies, solutions and methods. Assist the General Counsel in keeping standard contracts current with the trends of the industry and draft additional standard contracts as required. Provide legal advice to corporate departments and staff to ensure that the company complies with the law in its methods of business. Provide timely legal support and analysis to General Counsel and management. Draft internal white papers on contractual topics for all staff. This person will report directly to the General Counsel. J.D. is required, with Bar admission in good standing in the state where the position is located (California or Massachusetts). Should have 2-4 years of industry-related work experience. Must have excellent communication skills, both written and oral, with ability to explain complex issues in lay terms. Should have complete understanding of contractual obligations, the ability to identify potential risks, to communicate key terms and conditions, and to assist project teams with compliance.
