ProfileLegal Counsel The candidate will play a critical role in architecting and implementing the firm’s legal framework, strategy, and infrastructure to scale with the rapidly expanding organization. Will cover a substantial breadth of in-house legal functions, including: managing all legal aspects of fund lifecycle including launch (preparation of offering and governing documents), structuring, and operation (negotiation of material service provider contracts and side letter agreements with investors); performing regulatory analysis and communicating updates (e.g., Advisers Act, Investment Company Act, Securities Act, Exchange Act and ERISA); managing legal aspects of the firm’s international expansion; and providing legal advice for general corporate matters (e.g., corporate governance, leases, tax, and employment-related issues). Report to executive management and will also serve as the Chief Compliance Officer for the firm, overseeing in-house and external compliance functions and architecting the compliance program in a changing regulatory environment.
Qualification and Experience
The candidate should have 5-8 years of experience in hedge fund law (at a major law firm and/or in-house for a fund), including knowledge of fund structuring, compliance, and applicable securities regulations. Solid understanding of securities, contract, employment, tax, and ERISA law is needed. Familiarity with general corporate entity structuring and documentation is required. Must have strong knowledge of international law. Should have excellent verbal and written communication skills. An ability to balance creativity and corporate strategy with deep appreciation of regulatory environment and understanding of fiduciary and contractual obligations is essential.
