Contracts Manager Duties: Serves as the resource to the Projects and Operating Company within the Americas Region by interpreting and informing the Directors and Managers regarding the Contracts based in the United States. Informs the Project and Operational Director of risks and assists the Project Managers and Directors in avoiding situations that have the possibility of jeopardizing the contracts. Assists the Director of Operations for the Americas in understanding the obligations set forth in Americas Contracts that contain an operating agreement. Working with other members of the Project Management Team and Operations Team, proactively anticipates, identifies, analyzes and informs management of the financial, legal and performance risks that can impact their success. Ensures Cubic continues to understand and achieve obligations (internal and external) and informs the managers of all benefits due to us under the Contracts. Creates, agrees and maintains a list of all Milestone events (and their detailed content) for both the project delivery and operational phases. Negotiates payment approvals for Milestone deliveries. In conjunction with Project Accountants, scrutinizes payment schedules for Milestone deliveries and gains approval for payments under the progress payments regime. Receives, evaluates and acts on changes requested by the clients and suggested internally. Negotiates cost and schedule impact related to change requests (internal and external) and other contract modifications. Receives and responds to all written contract communications from the client. Drafts and negotiates all subcontract or vending agreements for the America’s Projects, and the Operating Company, with legal department approval as needed. Reviews all bids for projects in the Americas to ensure that the bid has considered all aspects of project and operational requirements. Negotiates and prepares all NDA requests and works with the Legal department to finalize if needed. Advises all Team members regarding Contract interpretation and other legal issues that arise. Implements Contract management business processes which, when implemented, delivers the correct outcomes for ERG and its Clients. Creates a cooperative environment where full understanding of performance of Contract management processes can be obtained and shared at reasonable cost, both internally and externally. Functions as part of the Shared Services Team that is charged with ensuring projects are delivered on time, to budget and within the agreed spec. in the terms defined in order to achieve acceptance, ‘sign-off’ and payments from the client. Reviews all NDAs, subcontracts and other contractual obligations on behalf of Director of Operations, Project Managers and Bids/Sales team. If further review from legal is required, interfaces to ensure smooth response times.
Qualification and Experience
REQUIREMENTS: J.D. Degree or equivalent plus a 8+ years relevant experience. Requires contract management experience in an advanced technology and project environment or businesses that are exposed to penalties for non performance. Experience in dispute resolution required. Must have advanced negotiation skills and outstanding commercial awareness. Excellent analytical skills. Excellent written and verbal communication skills. Ability to articulate clearly. Ability to meet deadlines. Sound time management skills. Good interpersonal skills. Ability to interact professionally with internal and external clients, and technical and non-technical people.
