Director, Commercial Contracts (United States) Duties: Responsible for the development and closure of effective and well considered commercial contracts. Responsible for building a commercial contracts management team to meet company and customer requirements. Analyzes processes and develops strategies to increase efficiency. Develops contractual relationships with global vendors and ensures that each contract is negotiated appropriately. Interacts with both customers and stakeholders to promote and protect the interests of the Company. Act as team leader to mentor, train and guide subordinates and other team members. Manage, track and assist with negotiations of a wide variety of revenue-side agreements for clinical studies, including, vendor agreements, work orders, non-disclosure and contractor agreements. Manage requests across the company from initial contract request to form generation. Serve as team leader for the Commercial Contracts Department. Train, mentor and guide team members as they develop their understanding of the Company, the Clinical Research Organization (CRO) industry, contract management skills, and/or the drug development process. Collaborate with the Finance and Procurement groups, and liaise with clinical study teams to determine the scope of project activities to be contracted to vendors to identify potential vendors best qualified to provide services. Assist line management in the implementation of policies, procedures and departmental initiatives. Assist Legal Department in the revision of commercial contract templates and standard forms. Review non-standard contracts provided by a vendor and evaluate the offered external contract document against company guidance and policy. In partnership with the Legal Department, develop playbooks and processes to enable consistent agreement negotiation across the team. Seek out the advice and guidance of more experienced team members, colleagues and line managers; or escalate complex matters to the Legal Department as required. Advise Procurement group and Legal Department of trends and events related to procurement processes that have potential implications for strategic direction. Maintain open, professional communication with stakeholders, the Procurement group and operational teams. Provide support as needed and ensure that the contract as executed by the company fairly and faithfully reflects the scope, budget and operational matters as approved by the relevant stakeholder(s) Oversees the approval and execution of contracts including securing non-disclosure agreements, Certificates (Proof of) of Insurance or other financial documentation as required. Maintain departmental databases as needed and provide status reports as required. Provide senior level management and leadership to determine best practices concurrent with corporate growth objectives. Collaborate with team members and stakeholders for the purpose of creating innovative methods to resolve complex issues or to otherwise develop methods of improving the procurement function and other departmental processes and procedures. Line management responsibilities for staff members. Approves courses of action on salary administration, interviewing and selection, terminations, professional development, performance appraisals, position description preparation, and employee counseling. Works with and advises staff on administrative policies and procedures, technical problems, priorities and methods.
Qualification and Experience
Qualification: ABA/BS degree, plus contracts management experience, or equivalent combination of education and experience. A JD degree is desired. Significant experience in a clinical research organization or pharmaceutical/life sciences company is desired with a concentration in contract preparation, negotiation and management. Management experience preferred. Demonstrates strong knowledge of legal and contracting parameters. Strong computer skills and proficiency in Microsoft Office Suite is required. Requires effective presentation, negotiation, documentation, analytical, and leadership skills, as well as a strong team-orientation. Excellent, professional written/oral communication and organizational skills are required. Must be customer-focused and able to manage challenging priorities and remain flexible and adaptable in stressful situations. A proactive, collaborative and flexible mindset is essential.
