Senior Contracts Analyst Duties: Accountable for providing contractual services and central coordination for all business operations in the Region with regard to analyzing, reviewing, modifying and drafting all Spanish-language commercial bids, orders, brand label and teaming agreements, contract agreements including master agreements for supply of goods and services, and other miscellaneous contract documents. Provide assistance in analyzing, drafting and negotiation support to Supply Chain organization on their long-term agreements. Responsible for representing Eaton in high-level external and internal customer bid and contracts negotiations for major, complex projects. Provide on-the-job training to junior contracts analysts and conduct continuing education for Eaton personnel on business and legal issues. Analyze and interpret selling and purchasing terms and conditions for the respective business’s various projects (e.g., supply, brand label, strategic alliance master, design, consultant, professional services and teaming agreements, long-term procurement agreements, and all major industrial and construction projects). Ensure that all terms are in compliance with Eaton’s policies and procedures. Review, analyze and interpret terms and conditions to identify all legal risks and business considerations for internal customers as it pertains to various business opportunities, and provide sound contractual resolutions, to include drafting contractual language for presentation to external customers, in an effort to mitigate liability exposure while ensuring compliance with company policy as well as external customer specifications and requirements. Interpret and implement established policies, procedures and practices as related to the corporation’s, Industrial Sector’s and Electrical Sector’s Limits of Authority guidelines. Conduct and oversee negotiations of contract terms and conditions directly with external customers. Take lead role in negotiating more complex, high dollar value contracts and/or contracts for strategic accounts and ensures that business’s negotiating position is properly coordinated with other corporate functions and business unit leaders. Provide contract and other document interpretation to shape internal strategies in customer dispute resolutions; engage in dispute resolution negotiations with customers. Maintain current knowledge regarding developments and changes in contracting methods and various laws (Uniform Commercial Code), and familiarity with federal regulations (Federal Acquisition Regulations), through such avenues as conducting research, reading articles, training and contracts or legal continuing education, and provide guidance and training to internal stakeholders throughout the company. Draft and implement Policies and Procedures, contract templates, and contract management tools as needed to ensure contractual compliance with all laws and regulations and revise for changes in law and risk tolerance. Ensure contractual compliance with all export requirements such as ITAR and EAR. Maintain daily electronic job log and assist in development and implementation of new office procedures. Develop and conduct training programs to multiple corporate functions on contracts. Conduct reviews of competitors’ selling terms and prepare analysis for business operations. Negotiate with external customers at high-level from Attorneys, VP of Procurement, Buyers, Engineering Procurement Companies, and numerous other parties. Has visibility with top management in Electrical Sector and Industrial Sector business units, attorneys, controllers.

Qualification and Experience

Qualifications: Bachelor's Degree in Business or Business Law from an accredited institution. Prefer MBA / J.D. Degree from an accredited institution; and Paralegal certification. Contracts certifications (CPCM). 5+ years of contracts or paralegal experience in the field of contracts. 5+ years of contracts negotiation experience. Fluent in the Spanish language (both spoken and written), including business terms. Knowledge of Uniform Commercial Code laws. Able to lead negotiations in Spanish-language contracts.
