Junior Attorney / Paralegal Duties: Assist the technical development departments of the company by: drafting and helping to negotiate/finalize all forms of commercial contracts, operating agreements, bylaws, corporate minutes, convertible notes and other investment documents providing legal assistance in multiple areas, including: corporate law; intellectual property; service provider agreements; other purchasing agreements (including RFP review); privacy law; data protection / data sharing agreements; software licensing including open source; software and export control assistance; anti-trust law; confidentiality agreements; supplier and partner sourcing and collaboration agreements; Develop and maintain the legal expertise needed to perform the role. Report to the Collaboration Manager in the Product Development division, but be supervised by Attorneys in the Office of the General Council; whilst maintaining strong links to Purchase departments across the globe. Juggle many different legal areas and projects and to prioritize tasks, while planning and accomplishing objectives in a timely manner and remaining flexible to respond to the changing requirements of the business. Requires performing the tasks in a hands-on manner with limited reliance upon outside counsel. Refine the contract review process on an ongoing basis and help with training and awareness within the business of such process and of the legal areas mentioned above. Prepare, review, draft, negotiate commercial contracts for adequate legal protections and compliance with internal policy. Attend to corporate governance and related issues, as well as regulatory matters and compliance issues. Advise on privacy and data protection issues and help train the relevant business people. Assist on special projects and other tasks of the legal department.

Qualification and Experience

Qualifications: 3 years experience; 1+ years prior in-house legal experience is strongly desired; Advanced/Expert level knowledge of commercial contract drafting and corporate governance experience; Automotive experience is strongly desired; Excellent judgment to resolve complex issues efficiently and effectively; strong organizational and document management skills; Attention to detail and verbal and writing skills. Technology law experience; as well as transactional experience including, corporate formation; credit agreements; private placement memoranda; document custodian experience.
