Contracts Administrator Duties: Identify, assess and assist in risk management and administer contracts and agreements, including communicating and interpreting performance requirements, delivery obligations and schedules and related terms and conditions in ensuring accurate and complete business transactions; prepare and maintain contractual documentation and will advise management of contractual rights and obligations as well as review and approve supporting information (pricing, RFP requirements and terms and conditions); be responsible for maintaining records and approvals related to RFP submissions, contract and pricing negotiations and related contract compliance; work independently on assignments. Work with the sales, operations and diligence personnel on each of the Eco and Audio/Visual Solutions Teams. Active involvement in projects from the pre-bidding stage through final completion. Work directly with team members and be capable of satisfying all contractual needs except those requiring a higher level of review, up to and including Legal. Act as primary point of contact to for departments such as Credit, Operations, Finance and Risk Management to support the proposal and contracting process. Prepare and maintain contractual documentation and advise management of contractual rights and obligations. Process contract reviews and approvals through final execution. Will work on changes to forms of agreements and external forms of agreements with Contract Manager. Develop new and maintain existing contract templates, soliciting input from Project Managers, engineers, Operations. Review and approve supporting information (pricing, RFP requirements and terms and conditions). Ensure compliance with policies and procedures to protect PESCO from contract, pricing and other identifiable risks. Work directly with Contracts Manager in coordination with the sales team on RFP and Non-RFP Bid submissions. Review solicitations and prepare specialized and / or non-routine contractual responses for proposals, bids and contract modifications. Interact on a regular basis with all levels of management, personnel and customers to obtain information and facts needed to complete assigned projects. Create new contractual instruments to drive business processes and adapt to changing market conditions while protecting PESCO interests. Process Purchase Orders for commercial business. Verify terms, advise sales team and file documents. Perform duties of Contract Manager as needed to support workload and vacation/illness. Perform other duties as assigned. Takes on additional projects and tasks to support. Manage, update and improve contract database. Prepare, examine, analyze, negotiate and revise contracts. Provide redline recommendation in compliance with Panasonic Corporate Policies. Review, draft, negotiate Non-Disclosure Agreements, Requests For Proposals, Purchase Agreements, Purchase Orders and Change Orders. Maintain an audit file for each contract with will include original contract, all correspondence, changes/deviations, amendments, and clarifications. Prepare brief summaries of requirements and other key terms of contracts and amendments. Prepare and disseminate information to appropriate employees regarding contract status. Collaborate with the Sales Team directly or through subordinate staff for timely and accurate proposal development. Support the Sales Team during the pre-bid, proposal and award stages, analyzing and mitigating risk. Establish and meet deadlines for proposals. Manage resource constraints with Senior Management of Solutions and Sales organizations to meet priorities and objectives. Support the administrative activities of the Eco and A/V Solutions Teams on designated projects to ensure that goals or objectives of projects are accomplished within prescribed time frame. Provide ideas and suggestions that contribute to the growth of the team and/or improvement of procedures. Support Operations Team with processing requests of Insurance Certificates, Payment and Performance Bonds, Bid Bonds, Surety Letters, Lien Waiver Forms. Reports into Group Manager of Operations.

Qualification and Experience

QUALIFICATIONS: Bachelor’s Degree required/preferred. 7+ years’ experience in legal profession or a Juris Doctor degree preferred. Must be knowledgeable in the law governing contracts, with additional knowledge of lien law, construction law and UCC preferred. Experience in construction projects and associated contracts such as AIA contracts a plus. Eco industry experiene a plus. Experience drafting legal correspondence, conducting legal research and dealing with high-level (internal and external) personnel, including lawyers, business executives and creative professionals. Legal experience should include items such as: Non-Disclosure Agreements, Lien Waivers, RFP Review, Insurance Requirements. Experience with implementing or improving upon processes and systems for the contracts function. Tracks and measures results against external best practices. Excellent team mentality and ability to model collaboration in building plans and strategies to enhance organizational clarity. Adapts style to enable optimal team performance. Strong personal and professional values, impeccable integrity and the energy level and stamina required to meet the demands of the position. Strong PC skills, including Microsoft Word, Adobe and Microsoft Excel.
