Profile

Lead Commercial Process and Contracts Analyst Duties: Leading on all strategic commercial contracts and process issues arising in their region, supporting the regional legal team on commercial legal matters and improving existing processes. Key function is to structure, draft, review, & negotiate commercial agreements and establish and maintain efficient processes in the framework of a compliant culture across the region. Liaise with the Contracting Team on policy matters and interface with the COEs as needed. Be main point of contact and manage all applicable processes for the commercial team in US and Canada, including but not limited to, acting as approver for all relevant workflows (such as IPP/Agg Spend/AdPromo), liaising with and reporting out to central functions in the P&L; keeping the commercial lawyers up-to-date on new requirements and ‘hot topics. Responsible for using business & legal judgment to structure, draft, review, & negotiate commercial agreements, including transactional customer sales contracts, contract amendments, demo agreements with strategic & key customers. Managing, drafting and negotiating CDAs and MTAs. Identifying and managing improvements to existing Legal processes and workflows, developing new policies and proposals as required. Managing contract clause libraries, contract databases and other commercial legal process/website pages. Maintaining corporate minute books, including drafting resolutions and consents.

Qualification and Experience

Qualifications: Bachelors Degree with 4+ years of experience. J.D. Degree or Paralegal Certification. Experience of Healthcare industry and exposure to medical industry regulations. Experience of liaising and negotiating with US and Canada Government entities. Prior business law experience in a similar role in a large law firm or corporate legal department. Demonstrated experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment. Awareness and understanding of US and Canada government contracting processes and applicable laws. Ability to communicate using English (or local language) and outstanding interpersonal skills.Prior experience with contract drafting and negotiation and customer/client interaction and relationships.
