Contracts Attorney Duties: Provides direct support to the Legal and Executive Management teams in drafting, negotiating and reviewing a variety of commercial and corporate agreements, performing corporate maintenance and record-keeping activities for domestic and international entities, providing legal review of marketing product and service brochures, technical publications, press releases and other business materials and assisting with regulatory compliance for domestic and international business. Draft, negotiate and review various commercial and corporate agreements, including software license agreements, supplier agreements, non-disclosure and non-compete agreements, end-user customer agreements, applications terms of use, professional services agreements, and other agreements as applicable, and participate in renewing agreements. Perform corporate maintenance and record-keeping activities for domestic and international entities. Provide legal support on litigation, intellectual property (including patent portfolio management and trademark management), real estate, immigration, corporate governance, corporate compliance, financial, governmental, and other matters. Work with outside counsel on a variety of matters. Provide legal review of marketing product and service brochures, technical publications, press releases, and other marketing promotions and business and technical materials. Assist with regulatory compliance for domestic and international businesses. Assist in developing, maintaining, communicating and applying knowledge of industry best practices in legal matters. Provide legal research and analysis to draft legal memoranda to support the business. Support discovery for litigation and assist in preparing reports and legal filings for same. Provide legal guidance on document interpretation and company policies. Analyze legal and business risks and recommend business appropriate solutions.

Qualification and Experience

QUALIFICATIONS : Bachelor’s degree and J.D. Degree from an accredited law school. California and/or Texas bar admission. 2-3 years’ legal experience as in-house counsel or equivalent law firm experience. Working knowledge of applicable federal and state corporate law. Knowledge of commercial and corporate agreements. Knowledge of legal review, legal research and legal compliance for domestic and international business. Strong drafting, negotiation and presentation skills. Strong oral and written communication skills. Strong organizational, time management and project management skills. Ability to define legal issues and legal risks. Ability to understand and integrate details of the business/operational environment into legal and policy requirements. Ability to recommend course of action based on fact, law and knowledge of industry best practices. Ability to engage a business-oriented approach to problem solving within the context of legal complexity and risk.
