Counsel - Contracts The candidate will provide transactional support for the companies across business functions and negotiate merchandising, licensing, marketing, technology, entertainment, logistics, retail sales, strategic alliances, and other deals relating to the company initiatives of our clients with professionalism, integrity, and first class legal services. Negotiate, review, and draft agreements for the various business units. Work with in-house attorneys, paralegals, and company business units to develop contract strategies. Develop, review/assess, and negotiate vendor contracts. Ensure consistency of contract terms with company policies and goals. Reduce company's risk. Review complex agreements, including agreements related to strategic initiatives, new business development, entertainment events, on-air guests and celebrity appearances, IT, product distribution, and software licensing. Work with current and prospective external business partners to resolve contractual issues. Assist internal business units on contract interpretation. Develop deep understanding of the various business units' operations, fulfillment models, sales practices, and marketing methods. Collaborate within Legal Department on company-wide initiatives. Interact directly with company executives and other senior business leaders, both orally and in writing, to keep them apprised of significant matters and developments. Participate in other legal functions and projects as directed. Undergraduate degree and Juris Doctorate degree from an accredited law school and Florida bar admission or Florida Authorized House Counsel certification required. 8+ years of relevant experience as an attorney at a law firm and/or in a corporate legal department including 5+ years of transactional experience at a law firm and/or in a corporate legal department required. Strong interpersonal skills and ability to foster good working relationships in the Legal, Quality Assurance, Finance, Marketing, Supply Chain, Information Technology, and Merchandising departments, as well as with other companies and outside vendor partners required. Strong written and oral communication skills required.
