Contracts Manager The candidate will draft, revise, review and negotiate standard and complex domestic and international contracts and agreements, including Master Agreements, Software License Agreements, Partner Agreements, Nondisclosure Agreements, Subscription Agreements and Marketing Agreements. Will review and respond to legal portions of RFPs, RFIs and other solicitation documents. Assist with vendor contracts and maintenance of corporate records. Review, approve and train on contractual documentation in order to adhere to company policy and protect company's contractual posture. Advise management and executives on contractual terms, conditions, rights and obligations. Provide interpretation of legal terms and conditions. Prepare amendments to Master Agreements and conduct contractual reviews and renegotiation. Guide colleagues and management through the various stages of the contract process, to include driving, planning, collaboration, contractual strategy, negotiation, execution and storage of documents. Participate in or drive special initiatives geared toward updating and streamlining contracting processes as well as fulfilling departmental objectives. Participate on or lead special contracts related projects of varying types and scope.
Qualification and Experience
The candidate must have 2+ years’ relevant experience. Must have Paralegal certification or BA/BS degree with 3+ years of contract management/ administration experience preferably in the field of Software or IT. J.D. Degree Preferred. Strong analytical, organizational and time management skills is required. Excellent written and verbal communication skills is essential. Must have computer skills including Microsoft Office Suite, Adobe and CRM system utilization. Healthcare background or regulatory knowledge/expertise also a plus.
