Legal Specialist Duties: Will collaborate on the products and solutions that help us carry out mission to improve lives and advance healthcare. Key responsibilities include general legal assistance, contract drafting, template and language development and workflow coordination: Serve as the first point of contact and provide general guidance on all types of legal, regulatory and contractual issues for Enterprise Sourcing, including requests for interpretation of supplier contracts, review of internal communications, disputes, and settlements. Draft and review agreements for non-technology services and products for the company’s internal use, including master agreements, amendments, terminations and other transactional documents. Lead contract negotiations under attorney guidance. Collaborate effectively with a broad range of business units and corporate functions, including privacy, human resources, marketing, and other functional legal areas. Support special projects, research legal issues and make appropriate recommendations under attorney guidance. Own specific matters or projects from beginning to end with moderate attorney oversight. Work in coordination with attorneys, paralegals, and internal stakeholders to develop, improve and maintain template agreements, contracting playbooks and custom language for non-standard situations. Provide feedback on selection and implementation of technology tools that impact contracting. Work with team attorney to coordinate workflow and to maximize output. Anticipate challenges, set expectations, and take preventative action to ensure timeliness, appropriate risk mitigation and accuracy of contracts.
Qualification and Experience
Qualification Requirements: 4 year degree with 5+ years related work experience OR J.D. degree with 3+ years of related work experience. Experience in drafting, reviewing and revising commercial contracts matters. Prior experience with supplier contracting is a plus. Strong verbal and written communication skills, including the ability to communicate effectively with internal stakeholders on contracts. Team player with outstanding interpersonal and collaboration skills. Ability to manage simultaneous projects efficiently in a fast-paced environment. Ability to identify and resolve issues in a proactive and timely manner.
