Profile

Director, Real Estate Contracting The candidate will direct all real estate related legal issues, including lease drafting and negotiation of approved transactions, drafting and negotiation of lease extensions, amendments, SNDA's, estoppels and other agreements. Will draft and negotiate construction agreements/exhibits, landlord lien concerns and evaluates permitting/zoning obstacles. Provide legal advice to development organization, prepares resolutions and forms, and participate in major legal actions and may direct related litigation. Attend Real Estate Committee (REC) meetings and assume/distribute documentation tasks resulting from its actions relative to lease renewals, extensions, new leases, store closings and any other activity requiring legal documentation and/or other legal actions. Confirm documentation agreement to REC terms prior to execution. Attend Construction Meetings to monitor deal progress and handle contractor, landlord, municipal issues as required to expedite store openings and lease compliance. Manage the paralegal-real estate in preparing and/or directly prepare legal documentation related to real estate committee actions, estoppel letters, SNDA requests, letter agreements and legal notices related to realty, particularly for existing leases where landlords are in default on maintenance or repair obligations. Coordinate with outside counsel relative to preparing outsourced documentation (primarily new leases). Coordinate initiation of all real estate-related litigation and other documentary or litigious matters of relevance with the Law department. Analyze/draft and negotiate lease requirements, special provisions, terms and conditions to ensure satisfaction of terms as approved by the Real Estate Committee and compliance to laws, regulations, corporate policies and business unit procedures. Manage/negotiate 'form' lease language with major, multi-store landlords (Simon, CBL, DDR etc.,). Coordinate and recommend to Real Estate and Construction VPs, Directors and Managers re: suggestions for negotiated lease or Construction Exhibit changes, revisions based on landlord or regulatory objections/obstacles. Coordinate complete execution of leases, lease amendments, letter agreements and other lease-related documentation and transition of completed documentation to lease files and property management database. Coordinate and direct legal file organization, archiving and retention policies/procedures at company approved standards. On an as needed basis review potentially sensitive lease-related correspondence between Real Estate, Construction and/or Professional Services with landlords, ODs or third parties for content, tone and legal sufficiency. Actively seek most efficient and effective ways to process required documentation so that Company resources are used at their highest efficiency and outside legal costs are minimized. Coordinate and periodically report ongoing activities with company Law department. Establish a real estate-focused legal resource to support and protect the company's interest in accelerating new store development and doubling the size of the company's leased property portfolio.

Qualification and Experience

The candidate should be a graduate of an accredited law school with 2-5 years of experience and admitted or able to be admitted into the State Bar. Must have 5 years of experience in drafting leases, subleases and contracts. Should have experience with multi-unit retailer or commercial enterprise with national or regional scope for multi-tenant buildings, office parks and/or multi-use developments. Should also be experienced and comfortable conducting phone/email negotiations with landlords, vendors and municipal authorities. Must be specifically skilled in application of real property and contract law. Should have strong drafting skills-capable of quick document turnaround and priority management. Must be familiar with a variety of business operational concepts, practices, and procedures.
