Commercial Contracts and Litigation Attorney Candidate will work as Senior Counsel supporting US and Canadian operations. Work closely with internal clients and support the company's various business units by drafting, reviewing, and negotiating engineering and construction contracts, service agreements, handling bids, leases, and sales agreements, as well as other commercial contracts and related agreements. Advise as to internal policies, assist with transactions, review and resolve claims, support procurement activities, manage outside counsel and provide training to company personnel on legal and compliance matters. Work closely with business groups, project managers, engineers, insurance brokers, external clients, and outside attorneys. Candidate will be responsible for providing legal support for customer facing contracts, including procurement contracts, sales and distribution contracts, marketing agreements, service agreements and other commercial arrangements. Will have frequent interactions with internal stakeholders across multiple function groups, such as sales, finance, and supply chain operations. Interact extensively with regulatory and compliance functions to ensure contractual arrangements are compliant and appropriately documented. Negotiate and draft multi-million dollar engineering, and construction agreements for a variety of complex projects in the food processing industry. Negotiate and draft multi-million dollar equipment lease or sale agreements for food processing and packaging projects. Draft, negotiate and provide legal advice with respect to product supply agreements, EPC contracts, procurement agreements equipment lease agreements, marketing agreements, confidentiality agreements, equipment leases. Draft board resolutions and keep the corporate records for the various US entities. Identify and analyze legal issues and risks, review and draft legal agreements, present clear recommendations, and assure legal compliance across the full spectrum of legal issues facing the company. Perform other job-related duties as assigned. Will report to the Cluster Leader Legal Affairs – The Americas.
Qualification and Experience
Candidate should have a J.D. degree from an accredited U.S. law school. Should be licensed to practice law and admission to (and current good standing with) the Bar of at least one state and ability to gain entrance into the State of Texas within 1 year of starting. 6+ years of legal experience in litigation and with drafting and negotiating commercial contracts preferably gained in both law firm and in-house environment is required. Experience in Human Resources and labor relations is preferred. Anti-trust and insolvency knowledge is a plus. Should have experience dealing with complex commercial and legal matters in broad spectrum of subject areas such as antitrust, labor and employment, litigation management, and construction projects. Bilingual skills in Spanish are preferred. Strong working knowledge of Microsoft Excel, Word and Outlook is needed.
