Vice President, Counsel - Intellectual Property and Contracts The candidate will be a leader who can provide guidance and act as an advisor on key legal matters as they relate to the bank’s operations. Play a major role helping the enterprise identify and protect its patentable innovations and trade secrets; and support all content creation efforts, including an extensive trademark portfolio and all content creation; efforts including operations and content review, application and prosecution, enforcement, defense, and counseling. Personally responsible for managing a large volume of commercial engagements with significant dollar exposure and operational impact to the bank, ensuring that client objectives are met and associated risks are identified and managed. In accomplishing these objectives, the successful candidate will, in consultation with subject matter attorneys and business partners throughout the bank, identify and mitigate the risks associated with each commercial engagement, while ensuring compliance with applicable laws, rules, regulations, guidance, industry standards, and internal policies and procedures. Manage global trademark portfolio and advise on trademark and copyright matters, including content review, clearance, application/prosecution, enforcement, assessment of asserted claims, and defense. Manage and advise on patent and trade secret matters, including identifying patentable innovations, application/prosecution, enforcement, assessment of asserted claims, and defense. Legal support of sophisticated engagements involving technology, services, consulting, outsourcing, and other commercial transactions, which range in complexity, profile, and scale. Draft, review, revise and negotiate commercial agreements, including: software and other IP licenses; application service provider and software-as-a-service agreements (cloud); consulting, professional, and other services agreements; processing agreements; supply agreements; hardware agreements; sponsorship agreements; telecommunications agreements; data and information licenses; financing agreements; and outsourcing agreements (including KPO and BPO). Prepare and maintain standard commercial agreements and contract boilerplate for the bank. Provide legal guidance for issues that arise in connection with prospective and ongoing commercial engagements, including IP consultation, contract interpretation, and advising on contractual and IP implications in a commercial activity. Work cooperatively with bank’s Procurement Department and Third Party Risk Management Team, and other key members of the organization to meet client objectives, including supporting efforts to improve vendor and supplier utilization and providing feedback on risk-mitigation, architecture, efficiencies, and cost savings. Monitor and remain current on regulatory guidance and industry practices for effectively managing IP and third-party risk. Coordinate defense, and settlement of IP and contractual disputes. Support corporate development on bank transactions (acquisitions and divestitures) and integration efforts. J.D. degree and licensed to practice law in a U.S. state jurisdiction in good standing and 3+ years of relevant experience preparing, reviewing, and negotiating commercial contracts, and managing and advising on IP issues required. Working knowledge of, and substantial experience in handling, legal issues associated with contract, cybersecurity, the Internet, electronic contracting, commercial contracting practices, and IP required. Demonstrated experience reviewing technology agreements in a corporate commercial contracts administration environment, including knowledge of industry concepts, terminology, clauses, and standard procedures required. Exceptional written work product with a particular focus on contracts drafting and written client communications and strong communication skills to work with internal and external constituencies, such as senior business leaders and all other levels of the organization, counterparts in a commercial transaction, outside counsel, and industry representatives required.
