Director of Contracts The candidate will lead the Insurance Contracts team that is responsible for contracts activity (including supporting documentation) that have a high degree of complexity and that may be comprised of multiple internal stakeholders, across multiple functional areas. Responsibilities include personnel management, assist and mentor team members negotiating complex customer contracts, responding to requests for proposal, managing change efforts including developing policies and procedures to ensure compliance with legal, IADP and business requirements and implementing practices to create a comprehensive understanding of the company’s overall relationship with each customer. Work directly with the senior Business Unit leadership team and Legal General Counsel to address customer contract issues and recommend changes to further enhance the contracting process. Responsible: for resource and workload planning and balancing of Contracts team; for building team in respective areas- recruiting, onboarding, training and mentoring. Develop and implement procedures for contract management and administration in compliance with company policy. Track and report on all contracting activities/risk issues and liaise with Client Engagement, Legal Department, Finance Department, Product & Vertical and other business clients to ensure on-going optimal contractual terms. Responsible for overall contracts management including planning, directing, developing, managing activities and providing oversight of respective contract team with the preparation, analysis, negotiation, monitoring and close-out of contracts between the company and customers. Ensure the fulfillment of all contractual obligations. Responsible for sharing best practices/ tools from contract management methodology with respective Contract team. Develop and monitor contract metrics to assess effectiveness of contracts team and to aid in the development of RISK insurance business and customer service strategies. Ensure the drafting of favorable contractual terms and conditions by contract team members and that sound contract terms are being negotiated directly with IDS customers. Identify and track legal and compliance considerations in the context of contractual negotiations, appropriately raise same to senior management, and work collaboratively and at the direction of senior management or legal counsel to address such considerations. Interface directly with IDS customers, IDS sales personnel, Legal, IADP and BU leadership team to ensure company's IDS business, legal, compliance, security and audit terms and conditions and customer requirements are fully captured in contract documents and templates are continually updated to include latest products/terms/conditions. Manage team RFI/RFP responsibilities by ensuring direct reports execute RFP/RFI responses with the assistance of internal resources as needed as well as assemble accompanying documents and delivery in timely manner. Motivational and visionary leadership skills. Act as change agent to foster a customer-centric, quality-oriented culture while driving measurable improvements within the Contracts department. Develop and coach change management principles with the contract team. Ability to effect and manage change agents. Proactively research, design and implement regularly scheduled training for Contracts Management organization and business on contract related issues/areas. Build training/development paths for Contracts Management organization. Bachelor’s degree; JD or MBA preferred. 10+ years contracts experience in a regulated industry, including 3-5 years management experience required.
