Managing Counsel The candidate will provide legal counsel and support for the company and its subsidiaries, a third party claims administrator offering a wide range of risk management and claims administration products and services. Negotiate and draft commercial agreements including third party claims administration agreements, risk management services agreements, loss control and other similar vendor agreements, and other products and services sold by the company. Negotiate and draft contracts and documents related to these agreements, including compensation agreements, access agreements, marketing materials and client updates. Partner with the company’s Commercial Legal attorneys to facilitate the bundled company business, including drafting and revising contracts and templates for this business. Assist in the development of new products and facilitate sales opportunities by developing marketable, business-focused solutions that also minimize legal risk. Assist in implementation of process-improvement initiatives and training of the staff and clients in conducting webinars. Provide general legal guidance and advice for the company and its regulatory and licensing issues. Must a) comprehend sales representative request, b) work collaboratively with sales representative to adjust/improve request, c) work independently, d) understand and work through legal and drafting complexities, and e) draft appropriate contract terms to reflect intent and agreement with the client. Pro-actively engage with field representatives to assist in identifying and solving issues arising out of proposed transactions. Consult and collaborate with other attorneys and professionals to maintain consistent positions and protect the company. Participate in meetings with risk managers, brokers, and policyholders to negotiate contract terms. Eliminate contractual ambiguities and resolve coverage issues while amending contracts to meet business needs. Ensure contracts are responsive to business and competitive marketplace needs and are in compliance with applicable laws and regulations. Protect the company while facilitating its business. Identify, address and understand issues arising out of claims administration services and related operations including claims authority issues, licensing, data access and privacy issues, and claims compliance requirements. Provide legal advice and research for products and transactions, including regulatory requirements, scope of claims handling responsibilities and obligations, indemnification obligations and contract interpretation. Advise clients as to bankruptcy matters, liability matters and regulatory issues affecting services provided to various insureds. Review and respond to legal and compliance issues raised by business unit operations and transactions applicable to insurance programs. Coordinate with other company resources to bring necessary expertise into the process. Work collaboratively with sales representatives and senior management. Provide guidance for transactions and agreements. Assist in providing technical training on regulatory, case law, and coverage developments. Interact with clients to address their concerns and issues while protecting the company. Maintain consistency in drafting and counseling. A Law degree and 5+ years experience required. Experience in insurance claims handling and claims administration, with a focus on workers' compensation claims handling procedures and requirements required. Understanding of insurance regulatory issues, such as claims adjuster licensing requirements, compensation restrictions, and information access requirements and restrictions required. Strong communication and persuasion skills, with the ability to build collaborative relationships both within and across functional lines required.
