Counsel Senior Consultant Candidate will support the services sales and delivery organizations of company and work in the commercial market. Will negotiate contracts for complex information technology and business process services transactions and will be expected to be the lead negotiator opposing lawyers from major law firms who have significant expertise in documenting information technology and business process outsourcing transactions. Specific responsibilities include reviewing, drafting and negotiating contracts in support of IT services sales and delivery organizations. Reviewing and preparing responses to requests for proposal, requests for information and similar competitive bid documents. Reviewing and advising on documents prepared by customers and other business partners and their counsel, including service agreements, statements of work, service level agreements, and pricing schedules. Identifying, analyzing and advising clients on various contractual provisions and issues in complex IT transactions, including the scope of the services to be provided, service level agreements, service level credit structures, benchmarking, termination provisions, and intellectual property rights. Providing customer specific assessments of risk. Assisting in developing resolutions to business disputes with customers. Enforcing compliance with corporate policies. Working with internal corporate units in a collaborative manner. Reviewing internal policies and providing proactive legal advice to internal groups. Training internal clients on various contractual provisions, issues, approaches and preferred practices. Advising internal clients on various corporate policies, procedures, approaches and preferred practices. Coordinating with other areas of the Legal Department to obtain the appropriate type of assistance for the supported business team.
Qualification and Experience
Candidate should have 8+ years of experience as a lawyer and 4+ years of experience drafting and negotiating complex IT services agreements, including leading the negotiation of IT outsourcing agreements. In depth knowledge of the market for complex IT services is required.
