Legal Counsel Duties: Will provide vision and strategy guidance acting as a trusted advisor and partner to ES’s account teams in client facing matters. This position is an outstanding opportunity for a talented individual to gain complex IT outsourcing knowledge, learn ES’ business, broaden their transactional expertise and affords highly desirable growth opportunities within ES Legal and the OGC. As the appointed legal resource for 5-10 of the Top 150 ES accounts worldwide, will directly participate in account growth, identifying opportunities to monetize account activities and client demands, assisting sales leads with proposals ensuring alignment with existing contracts, and maximizing benefit from new business. Identify areas of opportunity for the account to manage costs and otherwise improve efficiencies that also align with ES and OGC business driven strategic and operational goals. Proactively identify and evaluate risks; developing effective mitigations and/or justifications so that ES may accept appropriate risks and maintain a competitive market position. Provide timely and quality advice to accounts and ES Legal leadership on contract governance, compliance, changes, growth, disputes, transition and transformation and wind-down on an “end-to-end†basis rooted in knowledge of the account since inception. Act with urgency and accountability in day to day tasks and establish a superior working relationship with senior company's account leaders and sales teams. Act with a customer-centric approach responding to client requests promptly and collaboratively. Draft, review and negotiate a wide range of contract documents related to re-negotiations, renewals, upsells, amendments, and wind-down. Demonstrate the financial acumen necessary to comprehend account P&Ls and structured charging methodologies used in company's agreements. Demonstrate thought leadership by seeking process improvements and networking effectively to share innovations across a broad cross-section of the organization. Work with high energy and enhance team relationships as an individual contributor who freely collaborates with the business and legal teams.
Qualification and Experience
Qualification Requirements: Advanced university degree in law (e.g. J.D. or LL.B.) from a top-tier institution is required plus an active Bar membership in at least one state. 2-6 years of transactional negotiation and drafting experience. Experience from a top-tier law firm preferred. Experience with IT / Applications / BPO outsourcing and/or management of long-term commercial contracts is a plus. Excellent interpersonal, communication, presentation, networking and influence skills. Mastery in business writing, contract drafting, negotiating and advising internal clients. Demonstrated knowledge and judgment about legal and commercial issues in transactions; knowledge and judgment about prevailing market standards, in the IT services / outsourcing industry is a plus. Advanced understanding of commercial terms, including statements of work, pricing structures, payment terms and service levels is a plus. Excellent English language skills to business standard required. Some travel may be required.
