Senior Legal Counsel The candidate will be primarily responsible for supporting company’s OEM patent and software licensing business, with a focus on patent licensing matters and hybrid patent/software licensing matters. Be the lead attorney in drafting and negotiating company’s outbound patent and software license agreements to haptically-enable OEMs of various devices, including mobile phones, wearables, gaming/VR/AR devices, automotive interfaces, among others. Work closely with our IP licensing sales team, OEM software licensing team, marketing team and other teams collaboratively in order to engineer licensing structures with Immersion’s customers. Draft and negotiate a broad range of other transactional matters, including software/patent/know-how licenses, development agreements, professional services agreements, non-disclosure agreements, etc. Draft and negotiate patent license agreement, software license agreements, combination patent/software license agreements, and other agreements relating to our OEM licensing business. Work collaboratively with our IP licensing sales team, OEM software licensing team, marketing team and other teams collaboratively in order to engineer licensing structures with Immersion’s customers. Advise internal clients, including members of executive staff, on contractual rights and obligations, using excellent interpersonal/communication skills. Provide interpretation of contractual terms and clear, actionable guidance on legal and business risks as well as providing creative solutions to arising issues. Maintain and revise template agreements as required. Conduct various legal projects and other duties as assigned. Juris Doctor from an accredited law school and 5 -7 years of combined legal experience working as a patent licensing attorney and software licensing attorney in dynamic technology companies or at a law firm serving such companies required. Experience in patent litigation (particularly with respect to mobile devices) would be highly valued and preferred. Excellent oral and written communications skills and strong interpersonal skills that facilitate consensus-building among multiple business teams required. Deep knowledge of: patent licensing ( with patent litigation strongly preferred), software licensing, contract laws, and intellectual property licensing generally required.
