Profile

Vice President The candidate reports to Executive Vice President, General Counsel and Corporate Secretary. Leads one of 4 key legal functional areas: healthcare, governance, contracts, and litigation and claims. Leads management of litigation and claims for the company. Management of litigation will include budgeting and cost containment measures, case management plans, and other world class litigation management strategies. Prepares and reviews correspondence and communications, contracts, and other documents relating to legal matters. Provides legal advice, counsel, services, and representation to employees, managers, officials, and executives as appropriate. Handles assigned tasks and subject areas within areas of legal expertise with a high degree of independence; quality, competence, responsiveness, planning, sound judgment, and minimal need for supervision. Responsible for providing solution and business-oriented legal advice, support, counsel, representation and services to one or more key functional areas of the Company; under the general oversight and supervision of the Company’s Executive Vice President, General Counsel and Corporate Secretary. Manages, leads, develops, mentors less experienced legal staff. May also supervise administrative staff on a regular or assignment-specific basis. Interacts with and provides direct legal counsel to members of the Senior Executive Management team. Acts for the Executive Vice President, General Counsel and Secretary in absence with respect to specific legal matters, as necessary and appropriate. Relies on experience and judgment to plan and accomplish assignments. A wide degree of creativity and latitude is expected.

Qualification and Experience

The candidate should be a Graduate of accredited law school (J.D. or LL.B. degree). Relevant formal advanced degree from an accredited post -secondary institution of higher learning, considered a plus (i.e. MBA, LL.M. degree in area leading, or advanced degree in healthcare or technology) for both education and experience. State Bar Admission and eligible to practice in-house in Texas required. Must have 12+ years of experience in the practice of law. Should have 5+ years of experience as an in-house attorney for company or companies in healthcare and/or technology. Knowledge of and experience in substantive areas of law to the work of the Company essential. Must be knowledgeable in fields of law relevant to the Company’s business and/or operations.
