Corporate Contracts Attorney Duties: Will report directly to the Assistant General Counsel and is responsible for negotiating, reviewing and drafting commercial contracts for the company. Will be responsible for reviewing requests for proposals and bid specifications for transportation contracts and providing legal advice to management about risks associated with same. Reviewing, drafting and negotiating commercial transportation contracts in accordance with requests for proposal and bid specifications and modifying terms in line with company objectives. Reviewing proposed commercial transportation contracts and advising management on impact to company; providing alternative language options in line with company objectives. Assisting in contract interpretation and dispute resolution. Researching federal and state regulations and local ordinances applicable to commercial transportation contracts. Communicating frequently with all parties and coordinating change requests to gain consensus and executive approval. Monitoring compliance with commercial transportation contract requirements such as annual renewals, rate increases, and addenda. Working collaboratively with other in-house counsel and staff on commercial contracts. Effectively managing outside counsel as needed. Assisting other members in the department as assigned from time-to-time.
Qualification and Experience
Qualification Requirements: A J.D. degree from ABA accredited law school and membership in a state bar or association. 5 years of substantive commercial contracts experience with law firm or in-house legal department. Extensive commercial contracts experience, including reviewing, negotiating and drafting commercial contracts. Broad experience advising business personnel and senior management on risks associated with entering into commercial contracts. Strong working knowledge of MS Office Software (Excel, Access, Word, Outlook, Power Point). Committed to providing excellent customer service to both internal and external clients. Strong decision-making abilities, communication, dispute resolution and negotiation skills. Ability to preserve confidentiality of information. Ability and willingness to move with purpose and a strong sense of urgency. Accuracy and attention to detail. Ability to work independently and as part of a team. Self-starter with ability to organize and prioritize a large volume of concurrent tasks. Ability to work within strict timeframes and resolute deadlines. Ability to establish and maintaining effective working relationships with others. Ability to work extended hours and days, as needed, to accomplish assigned responsibilities.
