Commercial Counsel The candidate will support customer sales and services transactions and the development of new products, solutions and services at the cross section of networking, the Internet of Things and Big Data. Will work closely with business and sales teams and serve as their advisor and partner on a variety of commercial transactions and be able to work with minimal supervision and be required to counsel constituents regularly on complex contract, project deployment, product development and manufacturing/supply chain matters. Reports to the Director, Commercial Contracts and advising internal business constituents in connection with complex contract, project deployment, product development and manufacturing/supply chain matters is required. Structuring, drafting and negotiating a variety of complex technology agreements, including license, purchase, and service agreements, technology development agreements, supply and procurement agreements, and strategic marketing, distribution, channel reseller and alliance agreements, with US and international customers and partners and creating, maintaining and revising template agreements and developing contracting processes and forms for use by business the teams for recurring issues is required. Must have a JD degree from a recognized top tier law school, with a strong academic record. Must be Admitted to the California, Illinois or Texas bar. Must have 5+ years of relevant work experience involving hardware and software transactions in a major law firm and/or corporation, preferably in the energy or utility industry or networking technology industry.
