Counsel - Global Merchant Services The candidate will provide legal support to the Global Merchant Services (GMS) business, a core unit of firm and fundamental to the operation of the firm network. GMS builds and maintains relationships with merchants that choose to accept the firm Card by signing merchants, either directly or through third parties, to accept the Card, processing Card transactions and providing marketing and other innovative programs and services. Will support the GMS units that manage third party sales channels and processor relationships, drafting and management of template agreements and program operating manuals; and other operational and compliance matters. Collaborate within GMS in negotiating complex agreements with large and sophisticated companies and supporting regulatory monitoring and operational compliance, especially payment processing issues (e.g., merchant dispute resolution, fraud/data security, chargebacks). Report to a Vice President and Senior Counsel in the Global Network and Merchant Services practice group of the General Counsel’s Organization (“GCOâ€). Provide legal advice and transactional guidance on a wide range of commercial transactions and engagements with a particular focus on payment processing and merchant acquiring. Draft and manage template agreements and associated program operating manuals, addressing changes in the marketplace and regulatory and litigation environment. Provide legal advice in support of GMS compliance and operational processes, also with focus on changing marketplace and regulatory and litigation environment. Coordinate with international GCO, business development leads, and cross-functional teams to ensure all legal issues are identified, evaluated, and managed across the organization. Support the identification and implementation of process improvements to streamline operational and marketing processes within the GMS small merchant organization. Support the development and management of policies and procedures regarding contracts and commercial relationships, including collaborating within GCO, Compliance, Operational Risk, and the business globally, to ensure the most effective support and relevant expertise is applied to particular matters. Participate in a small team of seasoned attorneys and legal managers, offering thought leadership for cross-subject matter practice group issues and projects.
Qualification and Experience
The candidate must have a JD degree. New York Bar admission in good standing is required. Must have 3-5 years of relevant legal experience. Strong transactional background with experience drafting and negotiating contracts and a variety of complex commercial agreements is needed. Must have practical experience in dealing with business-level implications of merchant processing and developing and marketing financial products and services. Experience or demonstrated ability for understanding operational details of business systems and process and related compliance and regulatory (e.g., KYC, UDAAP, privacy) impacts is needed. Ability to understand and integrate details of business operational and systems environment in applying legal and policy requirements.
