Corporate Counsel, Contracts Specialist Candidate will be responsible for negotiating and resolving legal issues relating to company’s client contracts and vendor agreements across multiple states as well as Canada and Mexico. Will collaborate with internal business partners to develop contract negotiation strategies that mitigating risk through best practices, solid processes and strong negation of preferred language and terms. Gain an understanding of company’s business lines and the unique legal issues associated with doing business in highly regulated business environments across multiple US states and countries within North America. Draft, negotiate and advise on confidentiality agreements, joint ventures, teaming agreements, sales representation agreements and other legal documents for clients and vendors, managing multiple transactions simultaneously. Prepare contracts and amendments to improve contract protection, or for new service and/or product offerings, as well as related agreements. Collaborate with the leadership, account and business development teams to develop legal strategy for negotiations by clearly and concisely explaining terms of contracts and presenting options for negotiations. Provide legal interpretation of contractual provisions and identifies and/or recommends exceptions/modifications, to be considered by Operating Divisions. Collaborate with Human Resources to support and manage a growing global immigration and mobility program and directly oversee to Immigration Coordinator. Effectively manage workflow to meet multiple deadlines, as well as the expectations of internal and external clients. Periodically review and update all contract templates. Assist with additional contracts initiatives/projects as needed.
Qualification and Experience
Candidate should have JD Degree and Bar admission with 5 years’ experience as a practicing Attorney, in a high volume, face paced and diverse business environment. Strong negotiation and drafting skills with an understanding of negotiation strategies and implications of contract language nuances are needed. Working knowledge of ITAR, EAR, HIPAA and Immigration is preferred. Should have strong business contract expertise, preferably in the area of product development. Strong experience in constructive contract negotiation is a must.
