Profile

Legal Counsel Duties: Review, draft and negotiate a variety of commercial contracts, including service agreements and confidentiality agreements, along with ancillary legal documents; Assist in developing standardized contract templates and policies designed to efficiently support internal clients and business operations; Support litigated and non-litigated claims matters, including investigation and development of strategy and position; Provide high caliber, proactive legal and risk management advice to senior managers and employees with respect to a range of legal and risk management issues affecting the business; Advise and strategize on intellectual property and general corporate matters, as well assist on mergers and acquisitions; Assist in the development of legal, compliance and operational policies and guidance documents; Appropriately manage a heavy workflow, setting priorities with internal clients and delivering results within agreed timelines; Demonstrate an ability to think creatively and devise practical, business-oriented solutions and alternatives designed to mitigate risk and maximize business opportunities; and Exercise mature and reliable judgment while functioning in a fast-paced environment, and communicate effectively in a global environment.

Qualification and Experience

Qualifications: JD Degree from a nationally recognized and accredited law school and be admitted to practice law in NYS or other state in the U.S.; 4-7 years of experience in a law firm or an in-house corporate legal department. Must exhibit excellent judgment and strategic thinking, providing practical, proactive solutions designed to meet legal and regulatory requirements while balancing business needs; Outstanding verbal, interpersonal and written communication skills; Demonstrated track record of consistently meeting and/or exceeding performance expectations; Must be a proactive, independent thinker with strong organizational skills and experience and knowledge of the laws in the above areas, with international experience a plus; Must be able to work collaboratively and effectively across multiple functions, organizations, and with a diverse group of colleagues and management in a multi-national, global company; Must be flexible, personable and enjoy a dynamic corporate culture; and Fluency in another language (preferably French, German or Italian) is a plus.
