Profile

Senior Corporate Counsel The candidate will review, draft, and negotiate contracts and other legal documents for Detection in the United States, support the continuous improvement of standard form agreements and legal processes and policies. Will provide legal support in other areas as needed including corporate governance, international trade compliance, transactions, and litigation. Provide legal support, advice, and counsel on Federal Government Contracts and related matters. Draft, review, and negotiate Federal Government Contracts and Subcontracts, procurement agreements, license agreements, RPFs, licenses, and other legal documents. Supervise a small team of Contracts Managers. Assist with international trade and NISPOM compliance where required. Identify, assess, and manage legal risks facing the business. Support the continuous improvement of standard form agreements, legal processes and policies, and contract management. Deliver timely, pragmatic, and business-focused legal counsel to clients, even in ambiguous situations. Legal research and writing, due diligence, transaction and litigation support, as needed. Comply with and ensure department compliance with Company health, safety and environmental policies. Comply with all applicable U.S. export control and security regulations.

Qualification and Experience

The candidate must have a JD Degree from Top Tier Law School, B.A./B.S. Degree from an accredited college or university and Member of the Bar in good standing of one US jurisdiction. Should have 10-12 years of professional experience, obtained both in law firm and in-house environments. Detailed working knowledge of FAR, DFAR, FMS, GSA, NISPOM, etc is required. Extensive experience with bid protests, FCA, and government contracts litigation is needed. Experience in defense and manufacturing is must. Corporate law and transactional experience is essential. Experience with intellectual property rights in the government contracting context is required.
