Commercial Legal Affairs, Director The candidate will draft and negotiate complex software and services agreements for the customers and strategic relationships while counseling internal stakeholders on all aspects of intellectual property, licensing, and contract law. Structure, negotiate and close a wide variety of both inbound and outbound relationships efficiently. Counsel company executives and other internal stakeholders on contract related matters. Partner with business and technology staff to achieve business objectives in a legal and ethical manner. Work cross-functionally with product, engineering, sales, and business development in supporting the development, delivery, and commercialization of products in a fast-paced and hands-on environment. Play a critical role in the protection of company’s intellectual property. Strong academic record and California bar license or ability to practice in California as a registered in house counsel required. An undergraduate degree in Engineering or Computer Science preferred. 5+ years of experience of general corporate or technology transactions legal experience in a well-regarded law firm, preferably working with technology companies required. Additional in-house legal experience with a Silicon Valley technology company preferred. Transactional generalist, but with solid experience working on patent licenses, software and services agreements. Drafting and negotiating contracts and understand how to translate business needs into contract language (including creativity in finding solutions to help resolve business issues or blockers) required. General understanding of, computer/electronics technologies, including hardware, software, databases, and client/server concepts required.
