Profile

Senior Counsel Duties: Counsel and Legal Support to the Company’s Engineering, Operations, and Procurement business units. Report to the Associate General Counsel responsible for managing the Engineering, Operations, and Procurement law group and will also work closely with business unit leaders and support staff as needed. Legal support to the bidding, quality control, transactions, litigation, and claims handling related to design and construction of midstream energy assets including pipelines and related facilities. Experience with EPC, Lump Sum, Fixed Fee, and Unit Price construction contracts preferred. Assist with handling and resolution of lien claims and other related construction claims. Coordinate with outside counsel as necessary. Legal support related to the contract administration, transactions, litigation and claims handling of the company’s operation of energy assets. Experience drafting, negotiating and providing counsel on Master Service Agreements and related transactions involving the operation of energy assets. Assist with handling and resolution of disputes. Coordinate with outside counsel as necessary. Assist the Company’s compression, treating and fabrication divisions as needed, including sales and procurement contracting, facility leases, creditor’s rights / bankruptcy issues, litigation and commercial dispute management, some intellectual property experience a plus. Legal support related to the domestic and international procurement of materials and equipment for the construction of midstream related assets. Experience with drafting and providing counsel on purchase order terms and conditions. Assist with handling and resolution of procurement related disputes. Coordinate with outside counsel as necessary.

Qualification and Experience

Qualifications: Law Degree and Member of a State Bar in good standing. 2-6 years legal experience, previous in-house experience preferred. Energy construction related background is preferred. Excellent drafting skills; demonstrated experience with complicated transactions under the Restatement (Second) of Contracts, Article 2 of the Uniform Commercial Code and Incoterms as it relates to energy construction, energy services, and procurement of goods and materials. Team-player with the ability to work well with business teams and get along with a variety of people; enjoys interfacing with internal and external clients. Adaptability and ability to work on a wide range of matters that arise on a day-to-day basis. Excellent communication and inter-personal skills. Ability to work independently and collaboratively in a fast paced environment with rapidly changing deadlines and priorities. Displays a commitment to integrity, professionalism and a sense of humor. Provides pragmatic legal advice that reflects an understanding of the business and its key drivers.
