Counsel, Commercial Lending will assist the organization in structuring, negotiating and documenting middle-market asset-based lending transactions. This position will advise the organization on the Uniform Commercial Code (with a particular focus on chattel paper), borrowing base concepts, subordinated debt, intercreditor agreements and other matters important to asset-based lenders.

 

This position will also work closely with outside counsel for the handling of loan work outs, bankruptcy and litigation proceedings.

Essential Functions

  • Manage internal process for moving transactions from commitment letter to closing

  • Review newly prepared Term Sheets for structural and legal compliance
  • Draft and coordinate loan documentation of the Funding Agreement and all ancillary documents
  • Verify needed documentation and collateral to close loans
  • Manage post-closing changes to loan agreements through drafting of amendments, waivers and forbearance agreements, etc.
  • Assist with the creation and management of loan workout plans
  • Draft and negotiate purchase agreements for performing portfolios of auto loans (chattel paper)
  • Participate in Permanent Policy Committee governing compliance matters related to asset-based lending and seasoned chattel paper portfolios.
  • Monitor federal, state, agency and contractual guidelines
  • Assist in the implementation of quality control reviews or internal audit recommendations where appropriate
  • Work with General Counsel to establish legal and compliance best practices
  • Other tasks as assigned

Quakifications

  • Bachelor’s degree from an accredited college/university
  • Juris Doctor degree from ABA-approved law school
  • 4 + years of experience in documenting commercial loans (asset based loans preferred)
  • 1 + years of experience with post-investment issues, such as workout plans, bankruptcies and litigation proceedings
  • Excellent computer skills including Microsoft Office, Windows and the Internet
  • Ability to work within a team environment
  • Strong written and verbal communication skills

Supervisory Responsibility

This position has no supervisory responsibilities.

 

Work Environment and Physical Demands

This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.

 

Position Type/Expected Hours of Work

This is a full-time position with a work schedule of Monday-Friday with some weekend work required.

 

Travel

This position will require up to 10% travel.
