Assistant General Counsel- Credit Trading The candidate will provide transactional and regulatory advice and documentary assistance to traders and salespeople primarily in bank’s Credit Trading business including credit and emerging market derivatives, credit linked notes and total rate of return Swaps and other OTC Swaps (credit and emerging market) and to a lesser extent other trading desks. The attorney will support the trading, structuring and sales desks for there products, provide advice on new and existing products, oversee outside counsel on specific projects, participate in meetings with local regulators and provide advice to various support groups. Will be expected to be familiar with, or learn, applicable provisions of laws applicable to the businesses including the Securities Act, the Securities Exchange Act, Dodd Frank Title VII and the Volcker rule. Responsibilities will include drafting, advising and reviewing structured finance and derivative transactions including credit linked notes and total rate of return swaps and other OTC Swaps (credit and emerging markets). Also be required to participate as a bank representative in industry group meetings to evaluate best practices and provide comments on proposed rules and regulations. Must become familiar with bank’s Code of Conduct and other internal policies and procedures applicable to its respective businesses.
Qualification and Experience
The candidate should have Bachelors and Law degrees, with New York Bar qualification. Should have 5+ years of experience in the securities or corporate transactional practice at a national or large regional law firm and/or in-house legal department. Must have experience with structured transactions and derivative transactions including CDS. Should have familiarity with ISDA Master Agreement and various relevant Definitions. Must have excellent interpersonal skills given that the attorney will have extensive interaction with the business, GCO colleagues, control functions and outside counsel. Also be expected to make presentations and conduct training sessions, so candidates should be comfortable with public speaking. Knowledge of securities laws, Dodd-Frank regulations, such as Tile VII and the Volcker Rule are needed.
