Legal - Assistant General Counsel, Strategic Transactions Team, Card Commerce & Digital -VP Duties: Assisting with the drafting and negotiation of key strategic transactions in support of any of the business teams within Card Services, Commerce Solutions and Digital which may include: co-brand card partnership agreements, strategic alliances with FinTechs/other technology firms, various types of agreements with payment networks, other types of strategic partnership agreements with household brands (e.g. Starbucks). Issue-spotting, researching and appropriately escalating risks and concerns that may exist with any deal, for example anti-trust, money transmitter, data privacy and security concerns. Providing strategic, commercially pragmatic and transparent advice to the business client as to the reasonableness or viability of any aspect of a transaction from a legal perspective. Providing ongoing support and assistance to business clients, other legal teams and functional partners as to contract interpretation. Collaborating with other functional partners to ensure appropriate awareness and escalation of issues as they arise while being sensitive to confidentiality restrictions. Managing external counsel when instructed to support a particular transaction (as much of the work is done in-house as possible). Participating in cross line of business initiatives/practice groups as a subject matter expert on issues like ability to make use of certain types of data under the contract terms negotiated with partners.
Qualification and Experience
Qualifications: Must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction. 6 – 8 years post-admission experience in a law firm or in-house. Prior in-house experience and/or experience with technology/digital transactions would be a significant plus. On point transactional experience with strong technical drafting skills. A good sense of humor and the ability to stay calm when the pressure is on. A proven ability to comfortably operate in a fast-paced, constantly changing environment. The ability to see past the question and understand the wider strategy. The ability to think tactically to get to the best result for all parties. A willingness to get stuck in and see it through, no matter what might be involved.
