Assistant General Counsel, Vice President - Corporate and Investment Bank, Treasury Services Attorney The candidate will be responsible for negotiation, management and administration of client contracts for the Treasury Services business and its products. Will manage the documentation negotiation process with clients as well as internal partners in legal, sales, implementation, technology, product management, credit, risk, compliance and client services in order to ensure agreement on the feasibility of product delivery by all functions of the business prior to entering into a contractual commitment with a client. Provide legal advice and support for the various cash management products within Treasury Services (TS). Advise management of the TS Core Cash business on legal and regulatory issues. Draft, negotiate and advise on a wide range of documentation for the TS Core Cash business. Provide legal analysis in relation to new business initiatives and assisting in the implementation of new projects. Collaborate with global business teams in each of regions to address and resolve complex issues, develop policies, procedures and training materials to advance the business objectives in a compliant manner. Obtain and track internal documentation exception approvals. Coordinate documentation globally, for clients with presence in multiple regions. Analyze existing legal documents for conformance to the Bank's policies and procedures and regulatory requirements. Provide guidance and subject matter expertise on documentation to internal business partners. Communicate effectively with internal business partners and clients. Contribute to the development and maintenance of negotiation guidelines, training materials and procedures. Should have a J.D. degree and admission to NY or IL Bar. Must have 5+ years of post-admission experience with a major law firm, financial institution or judicial clerkship. Familiarity with banking law and Uniform Commercial Code Articles 4, 4A and 9 is desirable. Excellent drafting and negotiating skills are needed.
